Terms of Service
Effective date: September 17, 2026
Version: 2026-09-17
These Terms of Service are a legal agreement between you and RealTea AI LLC. Please read them. They explain what RealTea does, what it costs, what you are responsible for, and what we are responsible for.
The short version
- You must be at least 18 and a licensed real estate professional to use RealTea.
- Ellis is an AI assistant. Everything Ellis creates is a draft for you to review. You are completely responsible for everything you use, share, post, send, or publish. RealTea is never responsible for content posted or sent on your behalf.
- A free account can talk with Ellis. Ellis creates deliverables and takes actions for you on a paid plan, currently $299 per month, billed monthly, cancel anytime. There is a 7-day free trial that needs a card and converts automatically, and a 30-day money-back guarantee on your first paid charge.
- If you choose to teach Ellis your voice, the recordings you make are a voiceprint. We use it only to make audio and video you ask for, we never sell or license it, and you can delete it at any time.
- We never sell or share your information or your clients' information, and we never use your content to train AI models.
- If you record meetings with Meeting Notes, you are responsible for telling the people in the room and getting any consent the law requires.
- These Terms are governed by Florida law. Questions: support@realtea.ai.
The short version is here to help you read the rest. If it ever conflicts with the full Terms below, the full Terms control.
1. Who we are and what you are agreeing to
RealTea AI LLC, a Florida limited liability company ("RealTea," "we," "us," or "our"), provides the RealTea application, including the AI assistant we call Ellis, through realtea.ai and related websites, applications, text messages, emails, and services (together, the "Service").
These Terms of Service (the "Terms") are a binding agreement between you and RealTea AI LLC. By creating an account, clicking "I accept," or using the Service, you agree to these Terms and to our Privacy Policy, which is part of these Terms. If you do not agree, do not use the Service.
We record the version of the Terms and Privacy Policy you accepted, the time you accepted them, and the internet address and browser you accepted them from, so that both of us have a reliable record of the agreement.
2. Who may use RealTea
To use the Service you must meet all of the following:
- You are at least 18 years old and able to enter into a binding contract.
- You hold a current real estate license (as a salesperson, associate broker, broker, or an equivalent licensee) in good standing in a U.S. state, or we have otherwise authorized you in writing to use the Service.
- You have not previously been suspended or removed from the Service.
You must give us accurate license information (your name as licensed, your license number, and your licensing state) and keep it current. We may check it against public records and may refuse, suspend, or end access for anyone who is not licensed or whose license information does not check out. If your license lapses or is suspended, you must tell us and stop using the parts of the Service that require a license, such as advertising and client-facing materials.
If you use the Service in connection with a brokerage, team, or other business, you represent that you are authorized to do so. The agreement is still between you and RealTea, you remain the account holder, and you are responsible for all use of the Service under your account, including use that violates your brokerage's policies.
3. Your account
You need an account to use the Service. You agree to:
- give us accurate, current, and complete information when you sign up and keep it that way;
- keep your sign-in credentials confidential and use only your own account (each person needs their own account; accounts may not be shared, lent, or transferred);
- be responsible for everything that happens under your account, whether or not you authorized it, until you tell us about a problem; and
- tell us promptly at support@realtea.ai if you believe your account has been accessed without permission.
We may suspend an account that we reasonably believe is compromised or being misused while we sort it out.
4. What the Service does
RealTea is a conversational assistant for real estate professionals. You talk with Ellis by text, by voice, or by text message, and Ellis answers questions, coaches, and, at your direction, creates deliverables such as listing descriptions, flyers, postcards, graphics, brochures, listing videos, listing websites, market analyses and CMA-style reports, listing proposals, neighborhood guides, community newsletters, social media posts, inspection summaries, and meeting notes. Ellis also keeps a working memory of your business context, brand, listings, and deals so that it can help you more effectively over time.
The Service uses artificial intelligence and third-party data to do this. The capabilities of the Service will change as we improve it. We may add, change, limit, or remove features at any time, and some features are marked as beta or early access, which means they are still being refined and may work imperfectly or change without notice. Some features depend on third-party services and may be unavailable or work differently in some markets.
5. Free accounts, paid plans, and payment
Free accounts. A free account lets you talk with Ellis: you can ask questions, get answers, and get coaching through text chat (and through voice when we make voice available to free accounts). Outside a free trial, Ellis will not create deliverables of any kind and will not take actions on your behalf until you choose and purchase a plan. We may change what a free account includes, or stop offering free accounts, at any time.
Plans and prices. Our current plan is:
- Starter - $299 per month.
We may offer additional plans from time to time; any plan available to you, and its price, is shown on your Billing page and at checkout. Prices are in U.S. dollars. If the price shown at checkout differs from the price in these Terms, the checkout price controls for that purchase. Prices do not include taxes; where we are required to collect sales or similar taxes, they will be added at checkout.
Your monthly usage allowance. Each plan includes a monthly allowance of Ellis's work. Different tasks use different amounts of it, and the Service shows your usage as a percentage of your monthly allowance rather than as a count. Your allowance resets each month and unused allowance does not roll over. If you use your full allowance before your month ends, Ellis may pause creating new deliverables until your allowance resets or you move to a larger plan. Talking with Ellis is not paused.
Free trials. We currently offer a 7-day free trial of the Starter plan. A trial requires a valid payment method on file. During the trial you can use Ellis and see everything Ellis creates for you, but downloading and publishing what Ellis creates is reserved for paid plans. Before the trial starts we tell you the price and the date the trial converts. At the end of the trial your payment method is charged the plan price automatically and the plan renews monthly until you cancel. You can cancel at any time during the trial from your Billing page and you will not be charged. Trials are limited to one per person and per payment method, and we may withdraw or change trial offers at any time.
Billing and automatic renewal. Plans are billed monthly, in advance, through our payment processor, Stripe. By purchasing a plan you authorize us and Stripe to charge your payment method the plan price, plus any applicable taxes, on the day you purchase and again on each monthly renewal date until you cancel. Your subscription renews automatically each month. You can update your payment method at any time on your Billing page. We never see or store your full card number; Stripe handles it under its own terms and privacy policy.
Cancellation. You can cancel your plan at any time from your Billing page, which opens Stripe's secure customer portal. When you cancel, you keep full access to your plan through the end of the billing period you have already paid for, and you will not be charged again. Cancelling does not delete your account or your content; see Section 21 for how to delete your account.
Our 30-day money-back guarantee. If you are not happy with RealTea, email support@realtea.ai within 30 days of your first paid charge and we will refund that charge in full. You do not need a reason. The refund applies to your first paid month on your first plan.
Refunds after that. Apart from the guarantee above, fees are non-refundable: we do not give refunds or credits for partial months, unused allowance, downgrades, features you did not use, or periods when you did not use the Service, except where the law requires otherwise. If you believe you were charged in error, contact support@realtea.ai within 30 days of the charge and we will look into it.
Plan changes. If we offer plan changes on your Billing page, any proration or timing will be shown to you before you confirm the change.
Price changes. We may change our prices. We will give you at least 30 days' notice by email or in the app before a price change applies to you. If you do not agree with the new price, cancel before it takes effect; continuing to use the Service after the new price takes effect means you accept it.
Failed payments. If a payment fails, we or Stripe may retry it. We may pause paid features until payment succeeds, and we may cancel your plan if payment is not received within a reasonable time.
Promotions and trials. From time to time we may offer promotional pricing, discounts, or trials. Any special terms we state for an offer apply in addition to these Terms. If a trial converts to a paid plan, we will tell you the price and the conversion date before the trial starts.
6. Your content
What "Your Content" means. "Your Content" is everything you provide to the Service and everything Ellis creates for you at your direction, including text, photos, logos, headshots, brand assets, documents you upload (such as inspection reports), listing information, deal and client information, voice conversations and their transcripts, meeting recordings and their transcripts and notes, content from accounts you connect, and the finished deliverables generated from any of these (the "Outputs").
You own Your Content. We do not claim ownership of Your Content. As between you and us, you own the Outputs Ellis creates for you, and to the extent we hold any rights in them we assign those rights to you when they are delivered. Outputs may include elements licensed from third parties (for example, music, fonts, map imagery, stock elements, or property data) that stay subject to those third parties' licenses, and similar or identical output may be produced for other users, so we cannot promise that your Outputs are unique or exclusive.
The permission you give us. So that we can run the Service for you, you give us a worldwide, non-exclusive, royalty-free license to host, store, copy, process, analyze, transmit, display, modify, and create derivative works from Your Content, solely to provide, secure, support, and improve the Service for you, including sending Your Content to the service providers described in our Privacy Policy and taking the actions you direct under Section 7. This license ends when Your Content is deleted from the Service, except for copies in backups for a limited time and copies we must keep by law. We will never use Your Content to train artificial intelligence models, and we will never sell it or share it for advertising.
Voice recordings are carved out of that license. The permission above does not extend to voice recordings you make through Voice Setup or to the voiceprint created from them. We use those only to produce audio and video you ask Ellis to make in your voice. We do not sell, license, lease, trade, assign, transfer, or otherwise profit from them, we do not use them to train any model, and we do not use them to identify you for any other purpose. If RealTea is ever sold or transferred (Section 24), voiceprints are destroyed rather than transferred.
You are responsible for Your Content. You represent and warrant that you have all rights, licenses, permissions, and consents needed to provide Your Content to us and to have it used as described in these Terms, and that Your Content, and your use of the Outputs, does not violate any law, contract, or right of any person. This includes rights in photographs (for example, from your photographer, your brokerage, or your MLS), music and other media, and a person's name, image, or likeness. You also agree to keep highly sensitive information out of the Service unless it is necessary for the task: do not upload government identification numbers, Social Security numbers, bank or card numbers, or health information about anyone.
Information about other people. Your Content will often include information about other people, such as your clients, prospects, other agents, lenders, and people who take part in meetings you record. You are responsible for that information: for having a lawful basis to collect it and share it with us, for giving any notices and obtaining any consents the law requires, for honoring the confidentiality you owe your clients under your license law and the rules of your brokerage, MLS, and professional associations, and for honoring requests those people make about their information. We process that information only to provide the Service to you, under your instructions. We will never contact your clients, and we will never sell or share your clients' information. Our Privacy Policy explains this in more detail.
Deleting content. You can remove deliverables, deals, and other content from the Service, and you can delete your whole account as described in Section 21. Removed content may be archived or remain in backups for a limited period before it is permanently removed, as described in the Privacy Policy.
7. Actions Ellis takes on your behalf
What Ellis can do for you. With your direction, the Service can act for you outside the app. Today that includes:
- posting to social media accounts you connect (currently Instagram and Facebook);
- creating and sending newsletters to your own email audience through a Mailchimp account you connect;
- publishing listing websites to the public internet;
- creating share links that let anyone with the link view a document without signing in;
- emailing and texting you (never your clients); and
- running automatic or scheduled tasks that you turn on, such as an automatic monthly newsletter, automatic listing websites, automatic event flyers, a morning briefing, and custom skills you build.
You authorize these actions. When you connect an account, approve a post, publish a page, send a newsletter, create a share link, or switch on an automatic feature, you authorize us to take that action on your behalf, and you are responsible for it exactly as if you had done it yourself.
You are the publisher. You, not RealTea, are solely responsible for everything that is posted, sent, published, or shared on your behalf, including its accuracy, its legality, its compliance with fair housing and real estate advertising rules, MLS rules, and the terms of the platform it goes to, and its compliance with email and text-message laws such as CAN-SPAM and the TCPA. RealTea is never responsible for content posted, sent, or published on your behalf.
Review before you approve. Outputs are drafts. You must review them before you approve a post, a send, or a publication. Automatic features run without a review step each time they run; when you turn one on, you accept responsibility for what it produces and sends until you turn it off, and you agree to check its results regularly.
Third-party platforms. Social networks, email platforms, and other third-party services have their own terms, policies, and limits, which you must follow. We do not control them. They may change, throttle, reject, remove, or restrict content or access at any time, and we are not responsible when they do. You can disconnect a connected account at any time, from your Connections settings where a disconnect control is offered, from the platform's own settings, or by emailing support@realtea.ai.
Our right to decline. We may decline, delay, or reverse an action, and we may unpublish content we host, if we reasonably believe it violates these Terms or the law, creates a legal or security risk, or exceeds a platform's limits. We are not required to monitor content, and doing so in a particular case does not create a duty to do so in others.
8. Ellis is an AI assistant: what that means
Ellis can be wrong. Ellis uses artificial intelligence. AI output can be incomplete, outdated, or simply incorrect, and it can sound confident while being wrong. Voice recognition and transcription can mishear you. Ellis's memory of your business can be imperfect.
Outputs are drafts. Every Output is a draft and an aid for your judgment, not a finished, authoritative work. You are solely responsible for reviewing, verifying, editing, and approving every Output before you rely on it, send it to a client, publish it, or use it in a transaction. Always independently verify facts, including property details, measurements, prices, comparable sales, valuations, school and neighborhood information, names, dates, and statements about the law.
Not professional advice. Nothing the Service produces is legal, tax, accounting, financial, lending, investment, appraisal, inspection, engineering, or other professional advice, and nothing the Service produces is advice to your clients. In particular: a market analysis or CMA-style report is an opinion-of-value aid and is not an appraisal and must not be presented as one; an inspection summary is a reading aid for a report prepared by someone else and is not a home inspection and does not replace the inspector's report; financing information is general information and not lending advice or a loan offer; and negotiation or offer suggestions are not legal advice. Consult a qualified professional where one is needed.
Compliance aids are aids, not guarantees. The Service includes automated checks that look for things like fair housing problems and missing brokerage or license disclosures. These checks are limited: they can miss problems and they can flag acceptable content. When a check flags something, we deliver the Output to you with a note about what was flagged rather than withholding it, so that you can decide. These checks never replace your own review or your own compliance obligations.
Our commitment, and yours. We will never knowingly provide you with content that is not compliant with the law. But we cannot review every Output, we cannot know the facts of your situation, and we cannot guarantee that any Output is accurate, compliant, or suitable for any purpose. You are completely responsible for all content that you use, share, post, send, or publish, whether Ellis created it or you did.
Your professional judgment governs. You remain responsible for all professional and business decisions, for your duties to your clients, and for compliance with all laws and with the rules of your brokerage, MLS, professional associations, and licensing authorities.
9. Real estate, advertising, and communications compliance
You are responsible for making sure that your use of the Service and of every Output complies with all applicable laws and professional rules. Without limiting that, you agree to comply with:
- federal, state, and local real estate license laws and regulations, including advertising rules that require your brokerage name, license number, or other disclosures on marketing materials;
- fair housing laws, including the federal Fair Housing Act and state and local laws, and the advertising rules and special ad category requirements of the platforms you post to;
- the rules of your MLS, including restrictions on the use, display, and modification of MLS data and photographs;
- the NAR Code of Ethics and the rules of any association you belong to;
- laws governing communications and marketing, including the TCPA and state telemarketing laws for text messages and calls, CAN-SPAM for commercial email, and FTC rules about truthful advertising, endorsements, and disclosing altered or AI-generated imagery;
- RESPA and other laws governing referrals and compensation between settlement service providers; and
- copyright, trademark, privacy, and publicity rights.
Disclosures the Service inserts. The Service may insert your brokerage name, license number, and equal housing notices into deliverables based on the information in your profile. You are responsible for keeping that information accurate and for confirming that each deliverable carries every disclosure that your jurisdiction, your MLS, and your brokerage require.
AI-generated and edited imagery. Virtually staged photos, edited photos, and generated video must be disclosed wherever your MLS rules, platform rules, or the law require it. The Service labels AI-generated and AI-edited images inside the app, but you are responsible for the disclosures wherever you use them. Never present an edited or generated image as the actual condition of a property.
Fair housing. You must never use the Service to create or distribute content that expresses a preference, limitation, or discrimination based on race, color, religion, sex, disability, familial status, national origin, or any other class protected by federal, state, or local law, or that steers people toward or away from a neighborhood on those bases.
MLS data. If the Service provides MLS data to you, it does so only for your own use as an authorized member or subscriber of that MLS and subject to that MLS's rules. We may change or stop providing MLS data at any time.
REALTOR(R). RealTea is not affiliated with or endorsed by the National Association of REALTORS(R). REALTOR(R) is a registered mark of NAR; use it only if you are entitled to under NAR's rules.
10. Recording, transcription, and voice
Voice conversations with Ellis. When you talk with Ellis by voice, your speech is processed by our voice provider and transcribed. We keep a transcript of the conversation (what you said and what Ellis said) as described in our Privacy Policy. We do not keep an audio recording of your voice conversations with Ellis. Voice Setup, described next, is the one place we do keep recordings, and only because you deliberately make them for us.
Voice Setup, and what a voiceprint is. Voice Setup is optional. If you use it, Ellis asks you a few short questions (up to four, some of them about your business, drawn from your brand profile), records each spoken answer, and sends the recordings to our voice provider to build a model of how you sound. Those recordings, the transcript our provider makes of them, and that model are a voiceprint: data that can identify you personally, and in some states a biometric identifier. We ask for your written agreement before we record anything, and we tell you there what we do with it.
We use your voiceprint for exactly one purpose: producing audio and video that you ask Ellis to make in your voice, beginning with a short preview at the end of Voice Setup (your name, brokerage, market and tagline) so you can hear the result. We never sell, license, or trade it, we never use it to train any model, and we never use it to identify you. Our voice provider, fish.audio, processes it under its own terms and states that it does not train on its API customers' data by default. We keep it while you are using the feature and delete it twelve months after you last use it, sooner if you ask us to or if you delete your account. You can delete your voice at any time from your Brand page, and deleting it removes the model from our voice provider as well as from us.
You are responsible for only cloning a voice you have the right to clone. Do not use Voice Setup to record anyone but yourself.
Meeting Notes. The Meeting Notes feature records the audio of a meeting or conversation through your device's microphone, transcribes it with speaker labels, and produces written notes and a transcript that are emailed to you and saved to your account. You control when a recording starts and stops.
Your responsibilities when you record. Recording and transcribing conversations is regulated, and the rules vary by state. Georgia allows a person to record a conversation they are part of, but a number of states (for example, Florida, California, Illinois, Maryland, Massachusetts, Pennsylvania, and Washington) require the consent of everyone in the conversation. Before you record, you agree that you will:
- tell everyone present, at the start, that the conversation is being recorded and transcribed, and get the consent of everyone whose consent is required by the law of every state involved, including the state each participant is in for a remote conversation;
- not record a conversation you are not a party to, and not record where recording is prohibited;
- stop recording if any participant asks you to;
- comply with your brokerage's policies about recording clients; and
- keep recordings, transcripts, and notes confidential to the extent your duties to your clients require.
When you start a recording by voice, Ellis announces out loud that the meeting is being recorded. That announcement is a courtesy and does not replace your own disclosure and consent obligations.
Accuracy. Transcripts and notes can contain errors, including misheard words and speakers attributed to the wrong person. They are not verbatim legal records. Verify them before you rely on them.
Retention. The raw audio of a Meeting Notes recording is deleted once processing succeeds; if processing fails, it is kept until you retry or discard the recording. The notes and transcript are saved to your account until you delete them or your account is deleted. Our Privacy Policy has the details.
11. Text messaging (SMS) terms
Texting with Ellis is optional. If you confirm your mobile number and switch on texting, Ellis will text you at that number with things like flyers, updates, reminders, and replies to requests you text to Ellis. Ellis only texts you; it never texts your clients or anyone else.
By switching on texting you agree to these SMS terms:
- Message frequency varies with how you use the Service. Message and data rates may apply.
- Reply STOP to any message to stop receiving texts. Reply HELP for help. Reply START to resume. You can also switch texting off in the app.
- Consent to receive texts is not a condition of purchasing anything.
- Carriers are not liable for delayed or undelivered messages.
- You confirm that the number you provide is your own mobile number, you will tell us if it changes, and you will not provide a number that belongs to someone else.
Text messages you send to Ellis are stored and processed like any other conversation with Ellis, as described in our Privacy Policy.
12. Acceptable use
You agree not to, and not to let anyone else use your account to:
- use the Service for any unlawful, fraudulent, deceptive, or harmful purpose, or to violate any law or the rights of any person;
- create or distribute content that violates fair housing laws, or that is defamatory, harassing, or discriminatory;
- upload or use content you do not have the right to use, including photographs, MLS data, music, or other people's personal information;
- present AI-generated or AI-edited imagery as real, or create images or recordings of real people without their consent;
- record conversations without the disclosures and consents the law requires;
- upload government identification numbers, Social Security numbers, financial account numbers, or health information about any person;
- send spam or unsolicited messages, or use the Service to violate CAN-SPAM, the TCPA, or platform rules;
- share, sell, lend, or transfer your account, or use the Service on behalf of anyone who could not use it under Section 2;
- use the Service in a way that misrepresents who you are or your licensing status;
- copy, modify, reverse engineer, decompile, or create derivative works of the Service, or attempt to extract its prompts, templates, models, or source code;
- access the Service by automated means, scrape it, or use it to build a competing product or to develop or train an AI model;
- bypass or attempt to bypass payment, usage limits, security, or access controls;
- interfere with, overload, or disrupt the Service or the accounts of other users; or
- upload malicious code.
13. Third-party services, data, and content
Property and market data. The Service draws on data from third parties, including MLS feeds (currently FMLS in Georgia, delivered through Bridge Interactive), public real estate websites, mapping services, and other public sources. This data is provided "as is," may be incomplete, outdated, or wrong, and is subject to the providers' terms. You must verify it before relying on it. We may lose access to any source at any time.
Connected accounts. When you connect a social media or email marketing account, you authorize us to access and act on that account as needed to provide the features you use, and you agree to that platform's terms. We store the access credentials securely and you can disconnect at any time.
AI and service providers. The Service relies on third-party providers for artificial intelligence, transcription, image and video generation, document rendering, data, hosting, payments, email, and text messaging. Your Content is sent to these providers as needed to perform the task you asked for. They process it under their business terms, which do not allow them to use Your Content to train their models. The current providers are listed in our Privacy Policy, and we may change providers over time.
No responsibility for third parties. We are not responsible for the acts, omissions, terms, policies, availability, or content of any third party, including social networks, MLSs, data sources, AI providers, and payment processors.
14. Intellectual property
Our property. The Service, including its software, design, user interface, templates, skills we provide, prompts, the Ellis persona and voice, and the RealTea and Ellis names and logos, is owned by RealTea AI LLC and its licensors and is protected by intellectual property laws. Except for Your Content, we and our licensors retain all rights in the Service. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your own real estate business in accordance with these Terms. All rights not expressly granted are reserved.
Custom skills you build. If you use the Skill Builder to write your own instructions for Ellis, you own what you write. Your custom skills are private to your account; we run them only for you, and we do not share them with other users or use their content to train AI models.
Feedback. If you send us ideas, suggestions, or feedback, we may use them freely without any obligation to you.
Trademarks. You may not use the RealTea or Ellis names or logos without our written permission, except to accurately describe that you use the Service. Other names and marks belong to their owners.
15. Copyright complaints
We respect the intellectual property of others and expect you to do the same. If you believe content on the Service, including content we host on a published listing website or a share link, infringes your copyright, send a notice to support@realtea.ai with "Copyright" in the subject line that includes: your contact information; a description of the copyrighted work; the location of the material you believe is infringing; a statement that you have a good-faith belief the use is not authorized; a statement, under penalty of perjury, that the information in your notice is accurate and that you are the owner or authorized to act for the owner; and your physical or electronic signature. We will remove or disable access to material in response to valid notices and will terminate the accounts of repeat infringers. If your content is removed and you believe it was removed by mistake, you may send us a counter-notice with the information required by the Digital Millennium Copyright Act.
16. Privacy
Our Privacy Policy explains what information we collect, how we use it, who we share it with, how long we keep it, and the choices you have. A few commitments bear repeating here:
- We never sell your information or your clients' information, and we never share it for advertising.
- We never use Your Content to train AI models.
- We send Your Content only to the service providers we need to run the Service, and only for that purpose.
- You can delete your account at any time by emailing support@realtea.ai, and we complete the deletion within 30 days.
17. Disclaimers
THE SERVICE, INCLUDING ELLIS AND ALL OUTPUTS, IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WITHOUT LIMITING THAT, WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THAT ANY OUTPUT WILL BE ACCURATE, COMPLETE, RELIABLE, LAWFUL, COMPLIANT, OR SUITABLE FOR ANY PURPOSE; THAT COMPLIANCE CHECKS WILL CATCH ANY PARTICULAR PROBLEM; THAT THIRD-PARTY DATA WILL BE CORRECT; OR THAT USING THE SERVICE WILL PRODUCE ANY PARTICULAR BUSINESS RESULT, SUCH AS LEADS, LISTINGS, OR SALES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.
18. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, REALTEA AI LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, COMMISSIONS, BUSINESS, GOODWILL, DATA, OR USE, ARISING OUT OF OR RELATED TO THE SERVICE, ANY OUTPUT, ANY ACTION TAKEN ON YOUR BEHALF, OR THESE TERMS, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) ONE HUNDRED U.S. DOLLARS ($100).
THESE LIMITATIONS APPLY TOGETHER AND ARE A FUNDAMENTAL BASIS OF THE BARGAIN BETWEEN US. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU.
19. Indemnification
You agree to defend, indemnify, and hold harmless RealTea AI LLC and its members, managers, employees, contractors, and suppliers from and against any claims, demands, losses, liabilities, damages, fines, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) Your Content, including Outputs you use; (b) your use of the Service; (c) any action taken on your behalf under Section 7, including anything posted, sent, or published for you; (d) any recording, transcription, or use of Meeting Notes; (e) your violation of these Terms; (f) your violation of any law or any right of another person, including fair housing, real estate advertising, MLS, privacy, recording, telemarketing, email, copyright, and publicity laws and rules; or (g) any claim by your client, your brokerage, or any other person relating to your services or your use of the Service. We may take over the defense of any matter for which you owe us indemnity, and you agree to cooperate with us.
20. Term, suspension, and termination
Term. These Terms apply from the moment you first accept them or use the Service and continue until your account is deleted.
Ending it yourself. You can stop using the Service at any time, cancel your plan at any time under Section 5, and delete your account at any time by emailing support@realtea.ai from the email address on your account.
Suspension or termination by us. We may suspend or terminate your access to all or part of the Service, with or without notice, if we reasonably believe that you have violated these Terms or the law, that your license is not in good standing, that your account creates a legal, security, or safety risk, or that a payment is overdue. We may also end the Service or any feature. If we discontinue the Service entirely, we will give you at least 30 days' notice where reasonably practical.
What happens when access ends. Your right to use the Service ends. Published listing websites and share links we host may be taken down. Your data will be deleted as described in the Privacy Policy, so export anything you want to keep before your account is deleted. Fees already paid are not refunded, except as required by law. Sections that by their nature should survive (including Sections 6, 7, 8, 9, 10, 13, 14, 17, 18, 19, 21, 23, and 24) survive.
21. Deleting your account
To delete your account, email support@realtea.ai from the email address on your account with "Delete my account" in the subject line. We will cancel any active plan, delete your account and Your Content from our systems, and confirm by email within 30 days. We may keep records we are required to keep by law and records we need to resolve disputes or enforce our agreements, such as payment records and the record of your acceptance of these Terms. Our Privacy Policy describes what is kept and for how long.
22. Changes to these Terms
We may update these Terms from time to time. Each version has a version date at the top. If we make material changes, we will notify you in the app or by email, and we will ask you to accept the new version the next time you sign in before you continue using the Service. Continuing to use the Service after a new version takes effect means you accept it. If you do not agree to a new version, stop using the Service and cancel your plan.
23. Governing law and disputes
Florida law. These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules.
Talk to us first. Before starting a lawsuit, you agree to email support@realtea.ai with "Dispute" in the subject line, describing the problem and what you want, and to work with us in good faith for 30 days to resolve it. We agree to do the same before starting a lawsuit against you.
Where disputes are heard. Any lawsuit arising out of or relating to these Terms or the Service must be brought in the state or federal courts located in, or with jurisdiction over, the county in Florida in which RealTea AI LLC maintains its principal place of business, and you and we each consent to the personal jurisdiction of those courts and waive any objection to venue there. Either party may bring a qualifying claim in small claims court, and either party may seek injunctive relief to protect its intellectual property or confidential information in any court with jurisdiction.
Time limit. To the extent the law allows, any claim arising out of or relating to these Terms or the Service must be filed within one year after it arises, or it is permanently barred.
24. General terms
Entire agreement. These Terms, together with the Privacy Policy and any offer terms we state for a promotion, are the entire agreement between you and RealTea about the Service and replace any earlier agreements.
Severability. If any part of these Terms is found unenforceable, that part will be enforced to the greatest extent permitted and the rest of the Terms remain in effect.
No waiver. Our failure to enforce a provision is not a waiver of our right to enforce it later.
Assignment. You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets, and the commitments we make to you about your information will bind whoever takes them over.
Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control, including outages of third-party services, internet failures, labor disputes, natural disasters, or government action.
Notices and electronic communications. We may send notices to the email address on your account or through the Service, and you agree that those notices satisfy any legal requirement that a communication be in writing. You consent to receive communications from us electronically, and you agree that clicking "I accept" or similar buttons has the same effect as a handwritten signature.
Relationship. You and RealTea are independent parties. Nothing in these Terms creates a partnership, joint venture, agency, franchise, or employment relationship, and Ellis is not your employee, agent, licensee, or broker.
United States. The Service is operated from the United States and is intended for use by U.S.-licensed real estate professionals. We make no representation that it is appropriate or available elsewhere.
Headings. Headings and the short version at the top are for convenience and do not affect the meaning of these Terms.
